If you do not agree with any provision of these Terms and Conditions, you must immediately cease using our services.

This agreement takes effect from the moment you first access our website or services and continues for as long as you maintain any connection with AlgoForge. These terms supplement and work in conjunction with our Terms of Service and Privacy Policy, which are incorporated by reference.

You represent that you have the legal capacity to enter into this agreement and that you are authorized to bind any entity on whose behalf you are acting. If you are accepting these terms on behalf of an organization, you warrant that you have the authority to do so.

2. User Obligations and Conduct

As a user of our services, you assume specific obligations and responsibilities. You agree to conduct yourself in a professional and lawful manner at all times when interacting with our website, services, or personnel.

  • Content Provided: Any content, data, or information you submit to us, including claims that such content infringes third-party rights

This indemnification obligation survives the termination of your use of our services and includes reasonable attorneys' fees and court costs. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, at your expense.

Our services are provided on an "as is" and "as available" basis without any warranties or representations of any kind, whether express, implied, statutory, or otherwise. We expressly disclaim all warranties including, but not limited to:

  • Warranties regarding accuracy, completeness, or reliability of any content or information
  • Warranties that services will be uninterrupted, timely, secure, or error-free
  • Warranties regarding the quality or suitability of services for your specific needs
  • Warranties concerning results that may be obtained from the use of services

No Guarantee of Results

We do not guarantee specific outcomes, results, or performance metrics from our services. Machine learning engineering involves complex technical challenges, and results depend on numerous factors including data quality, project requirements, and implementation constraints.

Third-Party Dependencies

Our services may rely on third-party platforms, services, or technologies. We make no warranties regarding the availability, functionality, or performance of these third-party elements.

Information Accuracy

While we strive to provide accurate information on our website, we do not warrant that content is complete, current, or error-free. Information is subject to change without notice.

6. Limitation of Liability

LIMITATION OF LIABILITY AND EXCLUSION OF DAMAGES

To the maximum extent permitted by applicable law, in no event shall AlgoForge, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Loss of goodwill or reputation
  • Business interruption or loss of use
  • Cost of procurement of substitute goods or services
  • Any other intangible losses or damages

This limitation applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

Our aggregate liability for all claims arising from or related to these Terms and Conditions or your use of our services shall not exceed the total amount paid by you to AlgoForge during the twelve months immediately preceding the event giving rise to liability, or €1,000, whichever is greater.

Jurisdictional Variations: Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

7. Privacy and Data Protection

Your use of our services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By agreeing to these Terms and Conditions, you acknowledge that you have read and understood our Privacy Policy.

You are responsible for ensuring that any data you provide to us complies with applicable data protection laws. If you provide personal data of third parties, you represent that you have obtained all necessary consents and authorizations.

We implement appropriate technical and organizational measures to protect your data, but you acknowledge that no method of transmission or storage is completely secure. You accept the inherent security risks of providing information over the internet.

8. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the substantive laws of Cyprus, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

You irrevocably submit to the exclusive jurisdiction of the courts of Cyprus for the resolution of any disputes arising out of or relating to these Terms and Conditions or your use of our services. However, we retain the right to seek injunctive relief or other equitable remedies in any jurisdiction to protect our intellectual property or confidential information.

Before initiating any formal legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiation for a period of at least 30 days.

9. Termination and Suspension

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Grounds for termination may include, but are not limited to:

  • Violation of these Terms and Conditions or our other policies
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees for services rendered
  • Conduct that damages our reputation or business interests
  • At our sole discretion for business or operational reasons

Upon termination, all rights granted to you under these Terms and Conditions immediately cease. Provisions that by their nature should survive termination shall remain in effect, including but not limited to indemnification, disclaimers, limitations of liability, and dispute resolution clauses.

10. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to:

  • Acts of God or natural disasters
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Labor disputes or strikes
  • Internet or telecommunications failures
  • Power outages or infrastructure failures
  • Pandemics or public health emergencies
  • Any other circumstances beyond reasonable control

The affected party shall promptly notify the other party of the force majeure event and shall use reasonable efforts to minimize its impact. If the force majeure event continues for more than 60 days, either party may terminate the affected services upon written notice.

11. Severability and Waiver

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

12. Assignment

You may not assign, transfer, or delegate these Terms and Conditions or any rights or obligations hereunder without our prior written consent. Any attempted assignment in violation of this provision shall be null and void.

We may assign or transfer these Terms and Conditions, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. We will notify you of any such assignment that materially affects your rights.

13. Entire Agreement and Amendments

These Terms and Conditions, together with our Privacy Policy, Terms of Service, and any specific service agreements, constitute the entire agreement between you and AlgoForge regarding your use of our services. These terms supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through our website or by email. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
